Vehicle Owner Terms and Conditions

These Terms and Conditions ("Terms") govern the relationship between Revelry Motorcycles Pty Ltd (ACN 166 542 267) trading as ReviRide ("we," "us," or "ReviRide") and you, the motorcycle owner ("Owner," "you," or "your"), regarding the listing and rental of your motorcycle(s) ("Vehicle") on the ReviRide platform.

By registering as an Owner, listing a Vehicle, or accepting a Booking, you agree to be bound by these Terms. If you do not agree, you must not use our services.

What changed in Version 2.0. ReviRide has moved from operating rental locations itself to providing the platform that independent rental businesses run on. Your commercial terms improved as part of that change: your share is now a fixed 50% (was 49%), it is paid per rental as soon as the Vehicle is returned (was monthly, by the 10th), a damage claim no longer holds up your payment, and you now choose how the Vehicle is insured during a rental rather than being charged one fixed daily rate. Version 1.0 continues to apply to any Rental completed before the Effective Date above.

Version 2.1 adds Clause 3.4, which sets out the ABN and GST invoicing arrangement in full — including that your tax invoices can be issued for you once you are GST-registered, and the 47% withholding that Australian law requires if you have not quoted an ABN.

1. NATURE OF RELATIONSHIP

1.1 The Platform and the Operator: ReviRide provides and operates the platform. Your Vehicle is listed, stored, handed over and rented out by an independent rental business (the "Operator") at the location where the Vehicle is based. The Operator, not ReviRide, contracts with the Renter and is the merchant of record for the rental payment. ReviRide provides the platform, arranges insurance where you elect it under Clause 4, calculates your Owner Share and records what you are owed.

1.2 Independent Contractor: You are an independent business operator. Nothing in these Terms creates a partnership, joint venture, franchise, or employment relationship between you, ReviRide, or the Operator.

1.3 No Franchise: You acknowledge that ReviRide does not grant a franchise license, and you are not bound by the Franchising Code of Conduct under the Competition and Consumer Act 2010 (Cth).

1.4 Who Holds and Pays Your Share: Rental payments are received into the account of whoever is merchant of record for that Booking — the Operator's, in the ordinary case. ReviRide calculates and records your Owner Share for every Rental either way, and the party holding the funds pays it. If your Owner Share is not paid when it is due, tell us: we hold the record of what is owed and will pursue it with the Operator on your behalf.

2. ELIGIBILITY AND ENROLMENT

2.1 Owner Eligibility: You must be at least 18 years old, hold a valid Australian driver's licence or proof of identity, and have the legal right to rent out the Vehicle.

2.2 Vehicle Standards: Your Vehicle must be:

  • (a) Registered and roadworthy in your relevant state;
  • (b) Free from finance, liens, or encumbrances (PPSR clear), unless disclosed and approved by us;
  • (c) Insured as required in Clause 4; and
  • (d) Meet our aesthetic and safety standards (e.g., no excessive damage, working lights/brakes).

2.3 Right to Reject: We reserve the right to reject any Vehicle or terminate access to the Platform at our sole discretion if safety or brand standards are not met.

3. FEES, PAYMENTS, AND GST

3.1 Revenue Split: For each completed Rental, your Owner Share is 50% of Gross Rental Revenue for the Vehicle.

Your 50% is fixed. It does not move with the Operator's pricing, with which plan the Operator is on, or with what ReviRide charges the Operator. The Operator's share and ReviRide's platform fee both come out of the other 50%, not out of yours.

3.2 Insurance Deductions: If you elect ReviRide-arranged daily cover under Clause 4.1(a), the premium for each day the Vehicle is on hire is deducted from your Owner Share and remitted to the insurer.

  • (a) The rate that applies is the one shown to you at the time the Vehicle is listed, and it is recorded against each Booking when that Booking is made. If our rates change afterwards, the change does not alter what is deducted for a Booking already taken.
  • (b) We will tell you before a rate change takes effect for new Bookings on your Vehicle.
  • (c) No per-rental premium is deducted if you are on an annual policy under Clause 4.1(b) or carry your own commercial cover under Clause 4.1(c).

3.3 Payment Timing: Your Owner Share is released for each Rental, when the Vehicle is returned and checked in — not monthly, and not at the end of a period.

  • (a) Payment is triggered by the Vehicle coming back, not by it coming back undamaged. See Clause 4.4.
  • (b) A Vehicle that is stolen or not returned is not a completed Rental and is handled as a claim under Clause 4 rather than as a payout.

3.4 ABN, GST and Tax Invoices:

  • (a) You need an ABN, even below the GST threshold. Renting your Vehicle out for income through the platform is ordinarily carrying on an enterprise, and an ABN is separate from GST registration. You may also choose to register for GST voluntarily before reaching the $75,000 turnover threshold; if you do, this clause 3.4 applies to you from the date your GST registration takes effect. Register for an ABN — and, if applicable, for GST — before your first payout. If you are unsure whether you are carrying on an enterprise (for example, because you propose to list the Vehicle for one short period only and not again), seek advice from a registered tax agent or the ATO before completing a Statement by a Supplier.

  • (b) Without an ABN we must withhold 47%, unless we agree to defer payment. Where you have not quoted an ABN before a payment is due, Australian law requires the payer to withhold 47% of the amount of your Owner Share and remit it to the ATO as PAYG withholding. This is not a fee, a penalty, or anything we choose to apply — it is the no-ABN withholding rule in Subdivision 18-F of Schedule 1 to the Taxation Administration Act 1953 (Cth). Quoting a valid ABN prevents it entirely. As an alternative to withholding, we may agree with you to defer payment until you have obtained and quoted an ABN.

  • (c) GST registration is a separate, higher threshold. You must register for GST once your annual turnover reaches AUD $75,000 (the GST turnover threshold in s 23 of the A New Tax System (Goods and Services Tax) Act 1999 (Cth)). We track your cumulative annual payout across the platform and alert you when you reach $65,000 so that you have time to register. Your listing may be suspended if a required registration is not completed within 21 days of the threshold being reached.

  • (d) If you are not registered for GST, your Owner Share is paid as a gross amount without GST and you do not charge GST on it. If you are registered for GST (whether mandatorily or voluntarily), GST is payable on your supply to the Operator and is included in the tax invoice issued under clause 3.4(f).

  • (e) Who you supply, and who invoices. You make your supply of the Vehicle for rental to the Operator — the rental business that lists, stores and hands over the Vehicle to the Renter. ReviRide is not in that supply chain: ReviRide provides the platform that arranges, manages and records the relationship, and where ReviRide holds the rental funds it pays your Owner Share on the Operator's behalf. Payment of your Owner Share is not the same as being the recipient of your supply, and the Operator is the recipient either way.

  • (f) If you are registered for GST, your tax invoice is issued for you under a Recipient Created Tax Invoice (RCTI). By accepting these Terms you agree that the Operator, as recipient of your supply, may issue a Recipient Created Tax Invoice for your Owner Share, and that ReviRide may issue it as the Operator's duly authorised agent. This arrangement is made under, and is intended to comply with, the Recipient Created Tax Invoice Determination made under subsection 29-70(3) of the GST Act (currently in the form attached to GSTR 2000/10; as replaced or remade from time to time). While the arrangement is in place:

    • (i) the Operator (or ReviRide as its agent) will issue the RCTI within 28 days of the completion of the Rental, in a form that complies with subsection 29-70(1) of the GST Act;
    • (ii) you will not issue your own tax invoice for any supply covered by an RCTI;
    • (iii) you confirm that you are registered for GST at the time you give us your ABN, and you will tell us within 21 days if you cease to be registered;
    • (iv) an RCTI will only be issued while the Operator is also registered for GST, and we may verify the Operator's registration status against the Australian Business Register before issuing;
    • (v) you acknowledge that we and the Operator are required to reasonably comply with our respective obligations under the taxation laws; and
    • (vi) the arrangement ends automatically if you or the Operator ceases to be registered for GST, and neither you nor the Operator need do anything further for it to end.

    The RCTI will state the gross Owner Share (50% of Gross Rental Revenue) as the consideration for your supply. Any ReviRide-arranged daily insurance premium deducted under clause 3.2 is not a reduction in the consideration for your supply to the Operator; it is your Owner Share being applied, at your direction, in payment for a separate supply of insurance from the insurer. The premium will be shown on the RCTI as a separate collection or remittance note, and will be remitted to the insurer on your behalf.

  • (g) You can opt out of RCTIs. Tell us in writing and we will stop issuing them for your supplies. From the next payment date, you must issue your own tax invoices to the Operator in the ordinary way. Opting out does not affect your obligation to be registered for GST if your turnover meets the threshold in clause 3.4(c).

  • (h) This is not tax advice. Your GST and income tax position depends on your own circumstances. Confirm it with your registered tax agent or the ATO.

3.5 Disputes: You must notify us of any payment discrepancies within 30 days of payment. Claims after this period will be deemed accepted.

4. INSURANCE AND LIABILITY

4.1 Your Insurance Election: Before your Vehicle can be made available, you must elect how it is covered while it is on hire. Commercial rental cover is mandatory; which of these provides it is your choice:

  • (a) ReviRide-arranged, daily. We arrange cover for Fire, Theft, Collision and Third-Party Property Damage during Rental Periods. The premium is charged per day the Vehicle is on hire and deducted from your Owner Share under Clause 3.2.
  • (b) ReviRide-arranged, annual, where we make this option available to you. The premium is charged to you annually rather than per rental, and nothing is deducted from your Owner Share for insurance.
  • (c) Your own commercial policy. You carry your own cover that expressly permits commercial hire. You must provide a current certificate of currency, the insurer and policy number, and keep the expiry current with us. We may suspend or remove the Vehicle from the platform if that cover lapses. Nothing is deducted from your Owner Share for insurance.

4.2 Premiums and Excess Are Not Fixed by These Terms: Premium rates and the applicable excess are set out in the rate schedule shown to you when you list, and may differ by vehicle category and value. They are not stated in these Terms because they change. We will not apply a changed rate to a Booking that was already taken (Clause 3.2(a)).

4.3 Disclosure Documents: Where ReviRide arranges cover for you, we will provide the insurer's product disclosure documents before you make your election, and will keep a record of what was disclosed to you and when. We arrange cover as an authorised representative; we do not give you personal advice about whether a policy suits your circumstances.

4.4 The Insured Party and Claims: You are the insured under any policy ReviRide arranges for you. The Operator acts as your proxy in the claims and repair process.

4.5 Damage Caused by a Renter:

  • (a) Every Renter lodges a security bond at pick-up. Damage is recovered from that bond first. That is the Renter's money, not yours.
  • (b) A damage claim does not hold up your Owner Share. Your payment for a Rental is released when the Vehicle comes back, whether or not there is damage to resolve. This is a change from Version 1.0.
  • (c) Where repair costs exceed the Renter's bond and a claim is made, the Operator remits the insurance excess. You are not liable for the excess on damage caused by a Renter, and we will not deduct it from your Owner Share.
  • (d) We are not liable for the replacement of custom aftermarket parts; repairs will use standard OEM parts.

4.6 Your Insurance Outside Rental Periods: You must maintain your own comprehensive motorcycle insurance policy that covers the Vehicle when it is not rented. Warning: Most private policies exclude commercial use. You must confirm with your insurer that your policy covers the Vehicle during "stand-by" periods on a rental platform.

4.7 Indemnity: You indemnify ReviRide and the Operator against any claims arising from:

  • (a) Pre-existing mechanical defects;
  • (b) Failure to maintain required insurance;
  • (c) Breach of these Terms or applicable laws.

4.8 Compulsory Third Party (CTP): You warrant that your Vehicle holds current CTP (personal-injury) cover or registration levy valid for commercial hire/rental use in the Vehicle's state of registration, and that you have disclosed the commercial rental nature of the Vehicle to your CTP insurer or state authority where required. You acknowledge that: (a) CTP covers personal injury only — not damage to the Vehicle or third-party property; (b) using a private-use CTP policy for commercial rental may void cover, and that risk is yours; and (c) you must keep the correct CTP class current and notify ReviRide if it lapses or changes. ReviRide may suspend or remove the Vehicle from the platform if CTP is not valid for hire use. You indemnify ReviRide against any claim arising from your failure to hold correct CTP.

5. OWNER OBLIGATIONS

5.1 Maintenance: You must keep the Vehicle in safe, roadworthy condition.

  • (a) You must approve maintenance requests via the Platform within 3 business days.
  • (b) Failure to approve safety-critical repairs may result in the Vehicle being "Grounded" (removed from listings) until rectified.

5.2 Keys and Access: You must provide two sets of keys (or fobs) to the Operator. If a key is lost or damaged during a rental, the renter is charged for the replacement; however, as the owner you are responsible for sourcing and ordering the replacement key, as in many cases only the registered owner can obtain one.

5.3 No Contact with Renters: You must not contact, track, or interact with Renters directly. All communication must go through ReviRide or the Operator. Breach of this clause may result in immediate termination.

5.4 Costs: You are responsible for registration, CTP, routine servicing, and tyre replacement costs.

6. BOOKINGS AND CANCELLATIONS

6.1 Availability: You must ensure the Vehicle is available for pickup as per the calendar settings on the Platform.

6.2 Cancellations by Owner: If you cancel a confirmed Booking without cause, you are liable for any refund issued to the Renter and may be charged an administrative fee.

6.3 Blackout Dates: You may block dates for personal use with 7 days' notice, provided no Booking exists for those dates.

7. TERM AND TERMINATION

7.1 Term: These Terms apply from the date you accept them and continue until terminated.

7.2 Termination for Convenience: Either party may terminate this agreement with 30 days' written notice.

7.3 Immediate Termination: We may terminate immediately if:

  • (a) You breach safety or insurance obligations;
  • (b) The Vehicle becomes unroadworthy; or
  • (c) You engage in fraudulent or harassing behaviour.

7.4 Effect of Termination:

  • (a) You must collect your Vehicle from the Operator within 7 days.
  • (b) Any outstanding Owner Share is paid within 30 days.
  • (c) You remain liable for any cancellation fees for live Bookings.
  • (d) Cover we arranged for you ends when your listing ends, except where you are on a paid-up annual policy under Clause 4.1(b), which runs to the end of its term.

8. CHANGES TO THESE TERMS

8.1 We may change these Terms. Where a change materially affects your commercial position — your Owner Share, when you are paid, or how insurance is charged — we will give you at least 30 days' notice before it applies to your Vehicle.

8.2 These Terms are versioned. The version you accepted is recorded with your acceptance, and continues to apply to you until you accept a later one. Bookings already taken are governed by the version in force when they were taken.

9. RIGHT OF FIRST REFUSAL

9.1 If you wish to sell your Vehicle, you must first offer it to the Operator where the Vehicle is primarily stored.

9.2 The Operator has 7 days to accept the offer at the agreed market price. If they decline, you are free to sell to a third party.

10. PRIVACY AND DATA

10.1 You consent to us collecting, using, and disclosing your personal information (including licence and bank details) for the purpose of administering these Terms, sharing data with Operators, insurers, and payment processors.

11. DISPUTE RESOLUTION AND GOVERNING LAW

11.1 Governing Law: These Terms are governed by the laws of New South Wales, Australia.

11.2 Dispute Resolution: If a dispute arises, we agree to attempt good faith negotiation for 14 days. If unresolved, the matter will be referred to mediation in Sydney, NSW.

11.3 Jurisdiction: The courts of NSW have exclusive jurisdiction.

ELECTRONIC ACCEPTANCE

By submitting your vehicle application, you confirm that you have read, understood, and agree to be bound by these Vehicle Owner Terms and Conditions. Your acceptance is recorded electronically with your account details, the version of these Terms, and the submission timestamp.
